Membership at Overpar is subject to application and approval. We reserve the right to accept or reject any membership application at our sole discretion.

Membership fees, payment schedules, and billing terms will be provided during the application process. All fees are non-refundable unless otherwise stated in writing.

3.3 Membership Privileges

Members are granted access to facilities and services as outlined in their specific membership tier. Privileges may be modified with reasonable notice.

3.4 Membership Termination

We reserve the right to suspend or terminate membership for:

• Violation of these Terms
• Non-payment of fees
• Conduct deemed inappropriate or harmful to other members or staff
• Misuse of facilities or services

4. Facility Use and Conduct

4.1 Rules and Regulations

All members and guests must comply with facility rules, including but not limited to:

• Appropriate dress code
• Proper use of equipment
• Respectful behavior toward staff, members, and guests
• Adherence to safety guidelines
• No smoking except in designated areas

4.2 Guest Policy

Members may bring guests in accordance with their membership tier. Guest policies, including fees and limitations, will be communicated separately.

4.3 Reservations

Certain facilities and services may require advance reservations. Cancellation policies will be provided at the time of booking.

5. Payments and Billing

5.1 Payment Processing

Payments are processed securely through AgilPay, our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees.

5.2 Automatic Renewal

Memberships may automatically renew unless cancelled in accordance with the cancellation policy provided during enrollment.

5.3 Late Payments

Late payments may result in suspension of membership privileges and assessment of late fees.

6. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Overpar PR or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. User Content

If you submit any content (reviews, comments, photos) to our website or social media, you grant us a non-exclusive, royalty-free, perpetual license to use, reproduce, and display such content for promotional purposes.

8. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

9. Assumption of Risk

Golf and related activities involve inherent risks. By using our facilities, you acknowledge and assume all risks associated with participation in golf and recreational activities. You agree to follow all safety instructions and use equipment properly.

10. Liability and Indemnification

10.1 Limitation of Liability

To the fullest extent permitted by law, Overpar PR, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

10.2 Indemnification

You agree to indemnify and hold harmless Overpar PR from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of our facilities or services
• Your violation of any rights of another party

11. Personal Property

Overpar is not responsible for loss, theft, or damage to personal property. Members and guests are responsible for their own belongings.

12. Photography and Recording

By entering our facilities, you consent to being photographed or recorded for promotional, security, or operational purposes. If you do not wish to be photographed, please notify staff.

13. Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of services.

14. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.

15. Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Puerto Rico, without regard to its conflict of law provisions.

16.2 Jurisdiction

Any disputes arising from these Terms or your use of our services shall be resolved in the courts located in San Juan, Puerto Rico.

16.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at social@overparpr.com to attempt to resolve the dispute informally.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Overpar PR regarding your use of our services.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
